Welcome to TOP Goat ("TOP Goat," "we," "us," or "our"). These Terms of Use govern your access to and use of the TOP Goat website, breeder directory, livestock listings, breeder dashboards, membership services, and related features.

By accessing the website, creating an account, purchasing a membership, or using our services, you agree to these Terms. If you do not agree, do not use the services.

If you use TOP Goat on behalf of a farm or business, you represent that you have authority to accept these Terms on its behalf.

TOP Goat is an online directory and listing platform designed to connect livestock breeders with prospective buyers.

Our services may allow breeders to create farm profiles, advertise goats and other permitted livestock, display registration and pedigree information, advertise semen offerings, receive buyer inquiries, and manage herd information through a breeder dashboard.

TOP Goat currently operates as a listing and breeder membership platform. Buyers contact breeders directly, and the parties independently arrange payment, transportation, pickup, and any resulting sale.

TOP Goat is not the seller of listed livestock, a veterinary service, or a party to transactions between buyers and breeders. We do not collect payments for livestock purchases, hold animal-sale deposits, or arrange transfers of animal ownership.

You must be at least 18 years old to create an account, purchase a membership, or enter into a contract with TOP Goat.

You agree to provide accurate account information, keep your contact details current, protect your login credentials, and notify us of suspected unauthorized access.

You may not impersonate another person or breeder, register with fraudulent information, or use an account without proper authorization.

TOP Goat offers paid breeder memberships that provide access to eligible platform features. The standard breeder membership is currently offered at $50 per year, subject to the price and terms displayed at checkout.

Membership provides access to the features described for that membership. It does not guarantee buyer inquiries, website traffic, livestock sales, or any particular business result.

If a membership renews automatically, its renewal frequency, price, billing terms, and cancellation instructions must be disclosed before purchase. You authorize recurring charges only when you affirmatively agree to the applicable recurring-payment terms.

You may cancel a recurring membership through the available billing process or by contacting TOP Goat. Unless otherwise stated at purchase or required by law, cancellation stops future renewals but does not automatically entitle you to a refund for a previously paid membership period.

Refund requests are handled according to the terms presented at purchase and applicable law. Promotional pricing and complimentary memberships may have additional conditions.

We may change future membership prices or features. Changes affecting existing memberships will be communicated and handled as required by applicable law and the relevant billing terms.

Breeders are responsible for the content, accuracy, and legality of their profiles, advertisements, and listings.

By posting a listing, you represent that you are authorized to advertise the animal or offering and that your statements are accurate and not materially misleading.

Breeders must not falsely represent registration, pedigree, parentage, genetic status, health, fertility, ownership, or availability. Registration numbers and claims about registration organizations must be accurate.

Breeders are responsible for disclosing material information, updating or removing unavailable listings, and complying with applicable animal-sale, health, identification, transportation, and other legal requirements.

For semen or breeding offerings, breeders are responsible for the accuracy of claims concerning the donor animal, collection, storage, shipping, and expected breeding results.

TOP Goat does not independently verify every listing, pedigree, registration record, health claim, or ownership claim. A listing is not an endorsement or certification by TOP Goat.

Prospective buyers are responsible for conducting their own due diligence before purchasing livestock or other advertised offerings.

Buyers should independently verify the seller’s identity, registration records, pedigree, ownership, animal identification, health information, and other material claims. Buyers should arrange inspections and request veterinary records when appropriate.

Buyers and breeders are responsible for agreeing directly on price, deposits, payment, transportation, pickup, delivery, and transfer of ownership. Written sale agreements are encouraged.

TOP Goat does not guarantee that an animal will be available, that a seller will complete a transaction, or that an animal will meet a buyer’s expectations.

All transactions resulting from TOP Goat listings are arranged directly between buyers and breeders.

TOP Goat does not process animal-sale payments, hold escrow funds, negotiate sale contracts, arrange transportation, guarantee delivery, or guarantee the performance of either party.

Buyers and breeders are responsible for their own agreements, payment arrangements, legal compliance, and disputes arising from their transactions.

TOP Goat is not a party to a sale contract merely because a listing or inquiry originated through the website. Nothing in these Terms excludes responsibilities imposed on TOP Goat by applicable law.

TOP Goat may provide features that allow prospective buyers to contact breeders or submit inquiries about listings. We do not guarantee that a breeder will receive, respond to, or act on an inquiry.

You may not use these features to send spam, fraudulent messages, threats, or abusive communications, impersonate another person, or use contact information for unlawful purposes.

Users are responsible for verifying communications and exercising caution when sharing information or arranging transactions with people they have not previously met.

You may not use TOP Goat to post fraudulent or materially misleading content; advertise animals you are not authorized to offer; misrepresent registration, pedigree, health, or ownership; infringe intellectual property or privacy rights; harass or defraud users; upload malicious software; compromise website security; circumvent access controls or membership fees; or engage in unlawful activity.

You may not scrape, copy, or commercially exploit protected website content in violation of applicable law or the rights of others.

TOP Goat may investigate suspected violations and take appropriate action, subject to applicable law.

Subject to applicable law, TOP Goat may review, restrict, remove, or decline content that we reasonably believe violates these Terms or the law, is fraudulent or materially misleading, infringes another person’s rights, creates a security risk, or is otherwise unsuitable for the platform.

We may suspend or terminate accounts for material or repeated violations, fraud, misuse of the services, nonpayment, or other legitimate reasons.

Where appropriate or legally required, we may provide notice or an opportunity to address a violation. We do not guarantee that every listing will be reviewed before publication.

You retain ownership of content you lawfully own and submit to TOP Goat, including photographs, farm logos, descriptions, and listing information.

By submitting content, you grant TOP Goat a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, format, and distribute that content as reasonably necessary to operate, maintain, improve, and promote the services. This includes displaying your listings and breeder profile and using content in website previews, sharing features, and promotion of TOP Goat.

You represent that you own the content or have permission to submit it and grant this license. You must not upload content that infringes another person’s rights.

After content is removed, this license will end within a reasonable period, except for copies retained in backups, records, previously shared materials, or for legitimate business, security, dispute-resolution, or legal purposes. Third-party copies or search indexes may not be immediately removable.

TOP Goat and its original website content, branding, design, software, and platform features are owned by or licensed to TOP Goat and are protected by applicable intellectual property laws.

Except as permitted by law or authorized in writing, you may not copy, modify, distribute, sell, reverse engineer, or commercially exploit protected TOP Goat materials or software.

Third-party names, brands, registration organizations, and trademarks remain the property of their respective owners. Their appearance on the platform does not imply endorsement or partnership unless expressly stated.

TOP Goat may rely on third-party providers for hosting, authentication, payment processing, storage, analytics, and other technical services. The website may also link to external websites.

Third-party services and websites are subject to their own terms and privacy policies. TOP Goat does not control every aspect of those services and is not responsible for their independent content, availability, or practices.

Our use of third-party providers does not eliminate our own obligations under applicable law.

Your use of TOP Goat is also subject to our Privacy Policy, which explains how personal information is collected, used, stored, and disclosed.

When available, the Privacy Policy will be published at /privacy. Please review it before using the services.

We work to keep TOP Goat available, but we do not guarantee uninterrupted access, error-free operation, or permanent availability of every feature or listing.

We may update, modify, suspend, or discontinue features when reasonably necessary for maintenance, security, business operations, or other legitimate purposes, subject to applicable legal and contractual obligations.

We take reasonable steps to protect the operation and security of the services, but no online service can guarantee absolute security.

To the maximum extent permitted by applicable law, the services are provided on an “as is” and “as available” basis.

TOP Goat does not warrant that every listing is accurate, complete, current, or independently verified; that every user is trustworthy; that a listed animal will remain available; that use of the services will result in a sale; or that the website will always operate without errors or interruptions.

TOP Goat does not provide veterinary, legal, financial, or animal-health advice through ordinary marketplace listings.

Nothing in these Terms excludes or limits a warranty, legal right, or obligation that cannot lawfully be excluded or limited.

To the maximum extent permitted by applicable law, TOP Goat and its owners, operators, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the services.

To the maximum extent permitted by law, TOP Goat is not responsible for losses arising from private transactions between users, including disputes concerning payment, delivery, transportation, animal health, registration, pedigree, ownership, or user representations.

To the maximum extent permitted by applicable law, TOP Goat’s total aggregate liability for claims arising out of or relating to the services will not exceed the greater of the membership fees you paid directly to TOP Goat during the 12 months preceding the event giving rise to the claim or US$100.

This limitation does not apply where prohibited by law, including liability that cannot legally be limited or excluded. Nonwaivable consumer rights remain in effect.

To the extent permitted by applicable law, you agree to indemnify and hold harmless TOP Goat and its owners and operators from third-party claims, losses, liabilities, and reasonable expenses arising from your material violation of these Terms, content you submit that infringes another person’s rights, your unlawful conduct or fraudulent misrepresentations, or your livestock listings and transactions to the extent a claim results from your conduct or obligations.

This section does not require you to indemnify TOP Goat for its own conduct to the extent such an obligation is prohibited by law.

You may stop using TOP Goat at any time and may request account closure through available account settings or by contacting us.

TOP Goat may suspend or terminate access when reasonably necessary for violations of these Terms, fraud prevention, security, nonpayment, or other legitimate reasons, subject to applicable law and any required notice or process.

Closing an account does not automatically cancel a separately managed recurring payment authorization. You remain responsible for canceling recurring membership billing through the applicable process when necessary.

Account termination does not automatically entitle you to a refund. Refund eligibility is governed by the applicable membership terms and law.

Provisions that by their nature should continue after termination, including intellectual property, disclaimers, liability limitations, and applicable indemnification obligations, survive to the extent permitted by law.

We may revise these Terms to reflect changes to TOP Goat, its features, business practices, or applicable law. Updated Terms will be published on this page with a revised effective date.

Where required by law, we will provide advance notice or obtain renewed acceptance before material changes take effect.

Continued use after revised Terms become effective constitutes acceptance only to the extent permitted by applicable law. Where affirmative acceptance is required, continued use alone will not substitute for it.

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Subject to applicable law, disputes concerning these Terms or the services will be brought in a court of competent jurisdiction located in Missouri.

Nothing in this section prevents a consumer from exercising a right to bring a claim in another court when that right is provided by applicable law. The parties may attempt to resolve disputes informally before pursuing formal legal remedies.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Failure to enforce a provision on one occasion does not waive the right to enforce it later.

You may not transfer your rights or obligations under these Terms without our consent, except where applicable law provides otherwise.

These Terms, together with the applicable Privacy Policy and membership terms, govern your use of the services, subject to any additional written agreements that apply.
